How to read the Montenegro company register

Before you buy, partner or lease from a local business, look it up. The Central Business Register (CRPS) is public and free to search.

  • Search by name or registration number. Many names use č, ć, š, ž and đ — try both spellings.
  • Check the status. Active, in liquidation or struck off decides whether to sign anything.
  • Match the address and representatives with the person you are dealing with.
  • Read the activities. A company may only do what its registered codes allow.
  • Verify tax standing through the tax authority before large payments.

Montenegro work permit: pick your route

Registering a company does not itself grant a stay. The permit is a separate application — filed once the company exists. These are the four routes people actually use.

Owner of a company

Residency by company formation: you register the DOO, then apply for temporary residence on business grounds.

What gets permit files refused

  • Dormant company with no invoices or payroll
  • Documents without apostille or sworn translation
  • Criminal-record certificate older than allowed
  • Missing health insurance or proof of funds
  • Applying after the visa-free stay already expired

What strengthens it

  • A lease that matches the company’s registered address
  • Real contracts, bank turnover and tax filings
  • Applying well inside the 90-day visa-free window
  • Consistent names and spelling across every document
  • Compliance handled monthly, not once a year
Year 0Register company
Year 1Temporary residence granted
Years 2–4Renew annually, stay active
Year 5Apply for permanent residence
Year 10Citizenship becomes possible, with language test

Four myths about setting up a company in Montenegro

Search results and forums repeat these. Here is what is actually true.

MYTH 01

It’s an offshore tax haven

Reality: Montenegro is an onshore EU-candidate economy. Companies need real activity, accounts and beneficial-owner disclosure.

MYTH 02

You must move there to register

Reality: A power of attorney is enough for company registration. Travel is only needed for the bank and residence biometrics.

MYTH 03

A company gives automatic residency

Reality: It gives the right to apply. The permit needs accommodation, insurance, funds and an active business.

MYTH 04

You can still buy citizenship

Reality: The investment citizenship programme closed at the end of 2022. Residency routes remain.

01

Paperwork

Notary, apostille and sworn translation if you sign abroad.

02

Registered address

Lease or virtual-office agreement the register accepts.

03

Accounting to manage a business

Monthly bookkeeping, payroll, VAT and annual statements.

04

Bank & insurance

Account fees plus health insurance if you apply for residence.

Questions we hear before every registration

What do I need to set up a company in Montenegro?

Passport copies, the name, the business activities, a registered address in Montenegro and a signed founding decision. Foreign signatures require notarisation or apostille and a sworn translation.

Can I register a company without visiting?

Yes. A power of attorney lets us file for you. A bank account and a residence permit normally require one short personal visit.

How is an LLC registration different from a branch?

An LLC (DOO) is a separate Montenegrin legal entity with limited liability. A branch is an extension of a foreign company and the parent remains fully liable.

Do I need a Montenegrin director?

No. A foreigner can be the sole shareholder and the executive director.

Is a Montenegro work permit included?

No, it is a separate application filed after the company exists, for you as owner or for employees you hire.

When must I register for VAT?

When turnover reaches €30,000 in twelve months. Earlier registration is voluntary, useful if you buy a lot from VAT-registered suppliers.

What are my yearly duties?

Monthly payroll and VAT filings where applicable, and annual financial statements plus the corporate tax return by 31 March.

Can I open a company in Montenegro for real estate?

Yes. Many investors hold property through a DOO. The tax outcome differs from personal ownership, so we model both before you decide.
